1. Agreement to Terms

By accessing or using any service provided by UNDA Management LLC ("UNDA," "we," "us," or "our"), including the UNDA Analytics platform and the UNDA Intelligence platform (collectively, the "Services"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree with these Terms, you must not access or use the Services.

2. Description of Services

UNDA provides property intelligence products designed for the property management industry:

UNDA Analytics is a dashboard-based data platform providing market intelligence, competitive analysis, geographic mapping, and portfolio monitoring tools for the property management sector.

UNDA Intelligence is an AI-powered conversational insights platform that provides strategic analysis and answers to property management intelligence queries.

The specific features, data coverage, and functionality available to you depend on your subscription tier and the markets included in your plan, and may evolve over time as described in Section 8.

3. Eligibility

The Services are intended for use by property management professionals, companies, and related industry participants. You must be at least 18 years of age and capable of forming a binding contract to use the Services. The Services are not intended for consumer or personal use.

4. Account Registration and Security

To access the Services, you must create an account and provide accurate, complete, and current information including your name, email address, company name, role, and such other information as we may reasonably require. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account. UNDA will not be liable for any loss arising from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

5. Subscription, Payment, and Taxes

5.1 Subscription Plans

Access to the Services is provided on a subscription basis. Pricing, features, and market coverage vary by plan and are subject to change. Current pricing is available upon request or as published on our website. All prices are quoted in United States Dollars (USD) unless otherwise specified.

5.2 Payment Terms

All fees are charged in advance on a monthly or annual basis as selected at the time of purchase. Payment is processed through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

5.3 Taxes and Duties

All fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for any sales tax, value-added tax (VAT), goods and services tax (GST), withholding tax, or similar taxes, duties, or government levies imposed by your jurisdiction in connection with your use of the Services.

Where UNDA is required by law to collect and remit taxes in your jurisdiction, applicable taxes will be added to your invoice. UNDA's obligation to collect taxes may arise or change over time as regulatory thresholds are met or as tax laws in your jurisdiction evolve. The addition of tax collection to your invoices reflects a legal compliance obligation and does not constitute a change in UNDA's base pricing.

You are responsible for providing accurate information regarding your tax status, jurisdiction, and any applicable tax identification numbers. If you believe you qualify for a tax exemption, you must provide valid documentation of that exemption prior to invoicing.

5.4 Currency and Exchange Rates

Subscriptions are priced in United States Dollars (USD). If you pay from an account denominated in a different currency, your financial institution may apply exchange rate conversions and associated fees. UNDA is not responsible for exchange rate fluctuations or fees imposed by your bank or payment provider.

5.5 Price Changes

UNDA reserves the right to modify base subscription pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period. For the avoidance of doubt, changes to taxes, duties, or government levies as described in Section 5.3 may take effect as required by law and are not subject to the 30-day notice period for base pricing changes.

6. Free Trials and Promotional Access

UNDA may offer free trials or promotional access to the Services at its discretion. At the end of any trial or promotional period, continued access requires a paid subscription. UNDA reserves the right to modify or discontinue trial offers at any time without notice.

7. Permitted Use

You may use the Services solely for your internal business purposes in connection with property management operations, market analysis, and related professional activities. You agree not to:

(a) Sublicense, resell, distribute, or make the Services available to any third party without UNDA's prior written consent;

(b) Copy, reproduce, or systematically download data from the Services to create or populate a competing product or service;

(c) Use automated tools, bots, scrapers, or similar technologies to extract data from the Services beyond the functionality we expressly provide;

(d) Reverse engineer, decompile, or disassemble any component of the Services;

(e) Remove or alter any proprietary notices, trademarks, or branding displayed within the Services;

(f) Use the Services in any manner that violates applicable law or regulation; or

(g) Attempt to gain unauthorized access to any systems, networks, or data associated with the Services.

8. Product Evolution and Feature Availability

8.1 Continuous Improvement

UNDA is committed to the ongoing development and improvement of the Services. We endeavor to position our customers for success and to enable them to perform at their highest capacity through our product offerings. To that end, the Services are continuously evolving, and features, tools, data coverage, dashboards, and functionality may be added, modified, enhanced, or retired at any time at UNDA's sole discretion.

8.2 No Guaranteed Feature Set

Your subscription provides access to the Services as they exist at the time of use. These Terms do not guarantee the availability, continuation, or performance of any specific feature, tool, dataset, dashboard, integration, or functionality. No product description, marketing material, demonstration, prior version, or communication — whether written or verbal — shall be construed as a commitment to deliver or maintain any particular feature or capability.

8.3 Notification of Material Changes

Where we make changes that materially reduce the core functionality of the Services as a whole, we will endeavor to provide reasonable notice to affected customers. UNDA's assessment of what constitutes a material change shall be made in good faith and at our sole discretion.

8.4 Customer-Centered Approach

While we do not guarantee any fixed feature set, UNDA is committed to ensuring that our customers receive meaningful value from the Services. We actively consider customer feedback and usage patterns when making product decisions, and we endeavor to maintain and improve the overall quality and utility of the Services over time.

9. Regulatory Environment and Market Coverage

9.1 Dependence on Regulatory Infrastructure

The Services rely on the availability of public data maintained by government regulatory bodies, registries, and authorities in each geographic market. The geographic areas available through the Services represent jurisdictions where regulatory frameworks currently support transparency, open competition, and public access to property management records. UNDA's ability to provide data and intelligence in any given market is directly dependent on the regulatory infrastructure in that jurisdiction.

9.2 Regulatory Changes

Laws, regulations, data access policies, and government registry systems in any jurisdiction may change at any time without notice to UNDA. Such changes may include but are not limited to: the restriction or removal of public access to property records, changes to data formats or availability, the introduction of new licensing or access requirements, amendments to property management legislation, or the restructuring or discontinuation of government registries.

Regulatory changes of this nature are entirely beyond UNDA's control and may materially affect the scope, depth, accuracy, timeliness, or availability of data and intelligence for affected markets. Changes may impact the Services positively (for example, where a jurisdiction introduces new transparency requirements that increase available data) or negatively (for example, where a jurisdiction restricts access to previously public information).

9.3 No Guarantee of Market Continuity

UNDA does not guarantee that any particular geographic market will remain available through the Services, or that the scope of data coverage in any market will remain at its current level. Where regulatory changes materially affect a market's coverage, UNDA will endeavor to notify affected customers and, where practicable, adapt its data collection methods to maintain the highest feasible level of service.

9.4 New Market Expansion

UNDA may add new geographic markets to the Services from time to time as regulatory conditions permit. The availability and depth of data in newly added markets may initially be limited and may develop over time as data collection matures. New market availability does not constitute a guarantee of data completeness or parity with established markets.

10. Data, Intelligence, and Decision-Making

10.1 Informational Purpose Only

The data, analytics, insights, scores, projections, and intelligence provided through the Services — including but not limited to market share analysis, contract renewal timing, competitive positioning, geographic opportunity mapping, building pipeline information, and AI-generated recommendations — are provided solely for informational purposes. The Services are designed to support and inform your professional decision-making, not to replace it.

10.2 No Recommendation to Act

Nothing provided through the Services constitutes a recommendation, solicitation, or endorsement to pursue, acquire, retain, or terminate any specific property management contract, client relationship, business opportunity, or course of action. Any business decisions made in reliance on information obtained through the Services are made at your own discretion and risk.

10.3 Data Accuracy and Limitations

The data presented through the Services is compiled from publicly available sources including government registries, regulatory filings, and other lawful records. While UNDA takes reasonable steps to maintain accuracy and currency, we do not guarantee that any data is complete, current, or error-free. Property records, registration data, regulatory filings, and related information may contain inaccuracies, omissions, or delays at their source that are beyond UNDA's control. Data coverage, update frequency, and source availability may vary by market and jurisdiction and may change over time.

10.4 Professional Judgment and Independent Verification

UNDA strongly recommends that customers treat the information provided through the Services as one input among several in their decision-making process. Best practice involves cross-referencing UNDA's data and intelligence with your own professional experience, on-the-ground observations, direct engagement with building committees and stakeholders, independent verification of key facts, and any other due diligence appropriate to the decision at hand. The combination of UNDA's objective data with your professional judgment and real-world knowledge is the foundation for confident, well-informed business decisions.

10.5 No Guarantee of Outcomes

UNDA does not guarantee any particular business outcome, result, or return on investment from the use of the Services. Market conditions, competitive dynamics, regulatory changes, and other factors beyond UNDA's control may affect the relevance or accuracy of information provided through the Services at any given time.

11. Intellectual Property

11.1 UNDA's Intellectual Property

All content, data, software, analytics, dashboards, reports, AI-generated insights, visual designs, and other materials provided through the Services are the property of UNDA or its licensors and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services as they are made available during the term of your subscription.

11.2 Your Data

You retain ownership of any data you upload or input into the Services. By uploading data, you grant UNDA a limited license to process and store that data solely for the purpose of providing the Services to you. We will not sell your data to third parties.

12. AI-Powered Features

12.1 Nature of AI Outputs

The UNDA Intelligence platform uses artificial intelligence to generate insights, analysis, and recommendations. AI-generated outputs are provided for informational purposes only and are subject to the same limitations described in Section 10. AI outputs should not be treated as professional, legal, or financial advice. You are responsible for independently evaluating any AI-generated information or recommendations before making business decisions.

12.2 No Guarantee of Accuracy

AI outputs may contain errors, inaccuracies, or incomplete information. UNDA does not warrant that AI-generated content is accurate, complete, or suitable for any particular purpose. AI capabilities, models, and specific features may evolve, change, or be replaced over time as part of the ongoing development of the Services.

13. Third-Party Service Providers

The Services are delivered using third-party infrastructure and technology providers. These providers process data on UNDA's behalf in accordance with their respective terms of service and privacy policies. Current providers include:

  • Evidence Technologies Inc. — Dashboard and analytics interface delivery

  • Anthropic PBC — AI model provider for UNDA Intelligence features

  • Supabase Inc. — Database infrastructure and authentication

  • Stripe Inc. — Payment processing

  • Squarespace Inc. — Website hosting

UNDA may change, add, or remove third-party providers at any time as part of the ongoing development of the Services. Such changes do not require notice to customers unless they materially affect the nature of the Services.

14. Service Availability

UNDA aims to maintain reliable access to the Services but does not guarantee uninterrupted or error-free availability. The Services may be temporarily unavailable due to scheduled maintenance, system updates, platform improvements, or circumstances beyond our reasonable control. We will endeavor to provide reasonable notice of planned maintenance where practicable.

15. Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

16. Term and Termination

16.1 Subscription Term

Your subscription begins on the date of activation and continues for the period specified in your plan (monthly or annual). Subscriptions renew automatically unless cancelled before the end of the current billing period.

16.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds will be issued for partial billing periods unless otherwise required by applicable law.

16.3 Termination by UNDA

UNDA may suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent activity, or use the Services in a manner that could harm UNDA or other users. We will provide notice of termination where reasonably practicable.

16.4 Effect of Termination

Upon termination, your right to access the Services ceases immediately. UNDA may delete your account data within 30 days of termination unless retention is required by law or you request an export of your data within that period.

17. Limitation of Liability

To the maximum extent permitted by applicable law, UNDA's total liability arising out of or in connection with these Terms or your use of the Services shall not exceed the total fees paid by you to UNDA during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall UNDA be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, data, or goodwill, whether arising from contract, tort, or otherwise, even if UNDA has been advised of the possibility of such damages.

Without limiting the foregoing, UNDA shall not be liable for any losses or damages arising from: (a) business decisions made in reliance on data, analytics, or intelligence obtained through the Services; (b) changes to, interruptions of, or discontinuation of any features or functionality of the Services; (c) regulatory changes in any jurisdiction that affect data availability or market coverage; or (d) inaccuracies, omissions, or delays in data sourced from third-party registries or government bodies.

18. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, UNDA expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

UNDA does not warrant that the Services will meet your specific requirements, that any particular feature or functionality will be available or maintained, that data or intelligence will be accurate, complete, or current, that any geographic market will remain available or at its current level of coverage, or that the Services will be uninterrupted or error-free.

No advice, information, or statement — whether oral or written — obtained from UNDA or through the Services shall create any warranty not expressly stated in these Terms.

19. Indemnification

You agree to indemnify, defend, and hold harmless UNDA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

20.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration conducted in Delaware. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

20.3 International Customers

If you are accessing the Services from outside the United States, you are responsible for compliance with local laws applicable to your use of the Services. Nothing in these Terms limits any consumer protection rights that may apply in your jurisdiction to the extent such rights cannot be waived or limited by contract.

21. Modifications to Terms

UNDA reserves the right to update or modify these Terms at any time. We will provide notice of material changes by email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.

22. General Provisions

22.1 Entire Agreement

These Terms, together with any applicable order form or subscription agreement, constitute the entire agreement between you and UNDA with respect to the Services and supersede all prior agreements, understandings, and communications. For the avoidance of doubt, no prior demonstration, product description, or marketing material forms part of this agreement.

22.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

22.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without UNDA's prior written consent. UNDA may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

22.4 Waiver

No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any provision shall not be deemed a waiver of any other provision.

22.5 Force Majeure

UNDA shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure outages, regulatory changes, pandemics, or other force majeure events.

2.1 Information You Provide Directly

UNDA Intelligence provides AI-powered market analysis and insights. When you use these features:

  • Queries you submit are processed to generate responses. Query text may be logged for usage tracking, quality assurance, and to enforce subscription usage limits.

  • AI-generated outputs are derived from aggregated, non-personal market data (such as publicly registered building information, manager portfolios, and market statistics). UNDA Intelligence does not use your personal information to train AI models.

  • Automated processing: UNDA Intelligence uses automated systems to generate market summaries, manager profiles, and strategic insights. These outputs are informational and advisory in nature. No automated decisions are made that produce legal effects or similarly significant effects concerning any individual. You are not subject to decisions based solely on automated processing that significantly affect you.

  • Usage metering: We track the number of AI queries and token consumption at the organisation level to manage subscription quotas. This tracking is associated with your organisation account, not your individual profile.

2.4 Information We Do Not Collect

We do not knowingly collect personal information from individuals under the age of 18. The Services are designed for professional business use and are not directed at children.

3. How We Use Your Information

We use the information we collect for the following purposes:

  • Providing the Services: To create and manage your account, deliver the UNDA Analytics and UNDA Intelligence platforms, process transactions, and provide customer support.

  • Improving the Services: To understand how the Services are used, identify trends and issues, and develop new features and functionality.

  • Communication: To respond to your inquiries, send service-related notices, provide product updates, and share information about features or offerings relevant to your subscription.

  • Security and Compliance: To protect the integrity of the Services, detect and prevent fraud or unauthorized access, and comply with applicable legal obligations.

  • AI Feature Delivery: To process queries submitted to UNDA Intelligence and return AI-generated insights. See Section 2.3 for details on how AI features handle your data.

3.1 Legal Bases for Processing

We process your personal information on the following legal bases, as applicable under the laws of your jurisdiction:

  • Performance of a contract: When processing is necessary to provide the Services you have subscribed to.

  • Legitimate interests: Where we have a legitimate business interest in operating and improving the Services, provided these interests do not override your fundamental rights and freedoms. Our legitimate interests include fraud prevention, network security, direct marketing to existing customers, and product development.

  • Consent: Where we have specifically obtained your consent for a particular processing activity. You may withdraw consent at any time without affecting the lawfulness of processing carried out prior to withdrawal.

  • Legal obligation: Where processing is necessary to comply with applicable laws and regulations.

For residents of the EU, EEA, UK, France, Germany, and Spain, the legal bases above apply as required under the GDPR and applicable national implementing legislation.

For residents of Australia, we collect and handle personal information in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth), as amended by the Privacy and Other Legislation Amendment Act 2024 (Cth).

4. How We Share Your Information

  • Service Providers: We engage third-party providers who perform services on our behalf, such as payment processing (Stripe), hosting and database services (Supabase), website hosting (Squarespace), and analytics. These providers are contractually obligated to use your information only for the purposes of providing services to us and in accordance with this Privacy Policy.

  • AI Service Providers: Queries submitted to UNDA Intelligence may be processed by third-party AI providers (Anthropic). Query data is sent to these providers solely for the purpose of generating responses and is subject to their data processing agreements. We do not permit AI providers to use your query data for model training.

  • Legal Requirements: We may disclose your information if required to do so by law, regulation, legal process, or governmental request, or if we believe in good faith that disclosure is necessary to protect our rights, your safety, or the safety of others.

  • Business Transfers: In the event of a merger, acquisition, reorganisation, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change and any choices you may have regarding your information.

  • With Your Consent: We may share your information in other circumstances with your explicit consent.

5. International Data Transfers

UNDA is based in the United States and processes data primarily in the United States. If you are located outside the United States, your personal information will be transferred to and processed in the United States and potentially other countries where our service providers operate.

5.1 Transfers from the European Economic Area, United Kingdom, and Switzerland

Where we transfer personal data from the EEA, the UK, or Switzerland, we rely on appropriate safeguards to ensure that your data is protected in accordance with applicable law, including:

  • Standard Contractual Clauses (SCCs) approved by the European Commission.

  • The EU-U.S. Data Privacy Framework, where applicable.

  • Other legally recognized transfer mechanisms as appropriate.

For customers in France, Germany, and Spain, these safeguards apply in accordance with the GDPR and applicable national data protection legislation, including guidance from the CNIL, BfDI (German Federal Commissioner for Data Protection), and AEPD (Spanish Data Protection Agency) respectively.

5.2 Transfers from Australia

We handle personal information from Australian residents in accordance with Australian Privacy Principle 8 (APP 8), which governs cross-border disclosure of personal information. By using the Services, you acknowledge that your personal information will be transferred to and processed in the United States, where data protection laws may differ from those in Australia. We take reasonable steps to ensure that overseas recipients of your personal information comply with the Australian Privacy Principles.

5.3 Transfers from Singapore

Personal data from Singapore residents is transferred and processed in compliance with the PDPA. We take reasonable steps to ensure that overseas recipients provide a standard of protection comparable to that under the PDPA.

5.4 Transfers from Canada

Personal information from Canadian residents is transferred and processed in compliance with PIPEDA. We ensure that personal information transferred outside Canada receives a comparable level of protection through contractual arrangements with our service providers.

5.5 Transfers from the United Arab Emirates

Personal data from UAE residents is transferred in compliance with the Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. We take appropriate measures to ensure adequate protection of personal data transferred outside the UAE.

  • Automated decision-making transparency: In accordance with the Privacy and Other Legislation Amendment Act 2024, we disclose that UNDA Intelligence uses automated processing to generate market insights and analytics.   • Data security: We implement technical and organisational measures to protect your personal information in accordance with APP 11, including encryption in transit, access controls, and regular security assessments.
